Wintermute Launches U.S. Broker-Dealer as TradFi Expansion Deepens

Wintermute has launched Wintermute USA LLC as a U.S. broker-dealer after completing registration with the Securities and Exchange Commission and membership with the Financial Industry Regulatory Authority. The new entity gives the digital-asset market maker a regulated foothold inside U.S. securities infrastructure, extending its activities beyond crypto markets into traditional equities and derivatives. Wintermute said the business will initially focus on proprietary trading and liquidity provision rather than retail brokerage services.

FINRA records identify Wintermute USA under CRD number 337963, with registered personnel becoming active at the firm on August 6, 2026. The company said the authorization allows the entity to trade equities and equity options and provide liquidity to national securities exchanges and over-the-counter counterparties. The launch therefore represents operational entry into regulated U.S. securities markets, not simply the creation of a corporate subsidiary.

Broker-Dealer Status Opens an ETP and Securities Path

Wintermute also said the broker-dealer structure enables it to act as an authorized participant for exchange-traded products, including products linked to digital assets. Authorized participants perform the creation and redemption process that helps keep ETP shares aligned with the value of their underlying holdings. Registration gives Wintermute the regulatory capacity to pursue that role, but it does not mean the firm automatically serves as an authorized participant for every U.S. crypto ETP.

The firm additionally said Wintermute USA can self-clear digital-asset securities transactions for its proprietary account. That capability is strategically relevant as financial institutions experiment with tokenized equities and other blockchain-based securities. Wintermute is positioning the broker-dealer as infrastructure for both conventional markets and an emerging tokenized-securities environment, rather than limiting the entity to existing crypto products.

That direction is consistent with positions Wintermute previously presented to the SEC’s Crypto Task Force. In a 2025 submission, the firm argued that registered broker-dealers should be able to trade tokenized securities for their own accounts and self-clear and settle those transactions. The new U.S. entity gives Wintermute a regulated structure from which to pursue parts of that strategy, although future tokenized-securities activity remains dependent on applicable SEC and market rules.

Wintermute Builds a Bridge Between Crypto and Traditional Markets

The broker-dealer launch follows several earlier efforts to connect Wintermute’s digital-asset liquidity with institutional trading infrastructure. In July 2024, Wintermute Asia integrated more than 350 spot and crypto CFD pairs into oneZero’s ecosystem, giving participating banks and brokers access to its liquidity. That integration established institutional distribution, while Wintermute USA adds a directly regulated U.S. securities component to the broader group.

The expansion does not mean Wintermute has opened a full-service securities business to outside customers. The company’s announcement emphasizes proprietary trading, market making, ETP participation and liquidity provision, and it has not disclosed a timetable for expanding the broker-dealer into broader client-facing securities services. The immediate milestone is regulatory access to U.S. market infrastructure rather than a new retail offering.

the significance lies in combining its existing digital-asset trading expertise with the permissions required to operate inside traditional securities markets. The next test will be whether that regulatory bridge translates into meaningful equity, ETP and tokenized-security activity, particularly as U.S. financial infrastructure becomes increasingly connected with blockchain-based markets.
